First Mid Bancshares, based in Mattoon, Coles County, Illinois, announced on October 29 that it has signed a definitive agreement to acquire Evergreen Bancshares, which will merge into First Mid in a stock-and-cash transaction. Based on First Mid's closing price of $51.01 per share on October 27, the deal is valued at about $70.7 million; Evergreen shareholders will receive 0.4081 shares of First Mid stock plus $5.20 in cash per share, a mix of roughly 80 percent stock and 20 percent cash.
Evergreen Bancshares is the parent of American Bank of Freedom, headquartered in Missouri. As of September 30, 2026, it had about $932 million in total assets, $712 million in loans and $727 million in deposits, with 10 banking offices in the St. Louis metropolitan area and along the Interstate 70 corridor, as well as offices in Rochester, Illinois, and Westfield, Indiana.
First Mid said the transaction will strengthen its presence in St. Louis and along the I-70 corridor, expand its Illinois business, and establish a full-service banking operation in the greater Indianapolis market.
