SEC Unveils Fiscal 2027 Examination Priorities: AI, Private Credit and Tokenization Top Wall Street Exam List
The U.S. Securities and Exchange Commission (SEC) on October 23 announced its examination priorities for fiscal year 2027, setting out where its Division of Examinations will focus its scrutiny of Wall Street firms in the new fiscal year, which began on October 1. The division examines more than 34,000 regulated entities, including investment advisers, investment companies, broker-dealers, clearing agencies and other market participants.
According to the SEC, priority areas include investment advisers' fiduciary duties, conflicts of interest and compliance programs; protection of retail investors in complex, higher-risk and illiquid products; private funds, private credit and other complex strategies; broker-dealers' financial responsibility, trading practices, supervision and anti-money-laundering compliance; and operational resilience, cybersecurity and protection of customer information.
Emerging technology and market-structure change are also named priorities. The SEC said examiners will assess the impact of advanced technologies, including "super intelligence," on market operations, compliance, fraud prevention and investor protection, along with risks from U.S. Treasury clearing reforms and the tokenization of securities, and will step up oversight of self-regulatory organizations and other critical market participants. Reuters reported that the SEC last month unveiled a five-year exemption to allow companies to offer blockchain-based or tokenized stocks, while the Trump administration has moved to expand access to private assets for retail investors and retirement savers.
SEC Chairman Paul S. Atkins said examinations are a vital tool for driving compliance with securities laws and protecting investors, revealing emerging risks and changing business practices, and that a rigorous, analytically driven examination program strengthens market integrity, resilience and investor confidence. Keith Cassidy, Director of the Division of Examinations, said the examination program must adapt as markets change rapidly and that ongoing assessments allow the division to target resources where they can have the greatest impact.
The SEC noted the list is not an exhaustive examination checklist and that priorities may still be adjusted in response to market events, new products, new technologies and changing investor risks.
