美财政部开出对外投资首张罚单:9万美元中国AI投资漏申报,罚20万

美国财政部近日公开对外投资安全计划实施以来的首宗民事处罚:Amidi, LLC 因没有为一笔中国人工智能投资提交规定通知,被罚款20万美元。财政部称,Amidi 的受控中国基金在2025年4月19日向上海企业 Noematrix 投资约92,478美元;该公司从事人工智能、机器人和具身智能。公告仅以漏报为由处罚,罚款金额超过投资额两倍,但财政部没有把这单交易定性为禁止交易,也没有指控被投企业有不当行为。

该计划2025年1月生效,覆盖与中国内地、香港、澳门有关的部分人工智能、半导体和量子计算投资。有些交易需要通知,有些直接禁止;美国公司也不能因为交易由海外受控实体完成就回避规则。财政部称,这笔交易是在持续合规和市场监测中发现的,罚款已在今年7月作出、本周公开。

Treasury Issues First Outbound-Investment Penalty Over Unreported China AI Deal

The U.S. Treasury Department has announced the first civil penalty under its Outbound Investment Security Program, fining Amidi, LLC $200,000 for failing to file a required notice for a China-related artificial intelligence investment. Treasury said Amidi's controlled China fund invested about $92,478 on April 19, 2025, in Shanghai-based Noematrix, which works in AI, robotics and embodied intelligence. The announcement penalized only the failure to notify; the fine is more than twice the investment, but Treasury did not classify the deal as a prohibited transaction or accuse the investee of wrongdoing.

Effective in January 2025, the program covers certain AI, semiconductor and quantum-computing investments connected with mainland China, Hong Kong and Macau. Some transactions require notification and others are prohibited, and a U.S. company cannot avoid the rules merely because a controlled foreign entity carried out the deal. Treasury said it identified the transaction through ongoing compliance and market monitoring; the penalty was imposed in July and disclosed this week.

For Chinese-American business owners and investors, the signal from this small case is direct: a regulated-technology investment under $100,000, even through an overseas fund, can still trigger a filing duty. Exceptions, knowledge standards and due-diligence requirements apply, so investors should check 31 CFR Part 850 and consult counsel before a cross-border deal rather than assuming a small transaction is exempt.
