C.H. Robinson to Acquire Charlotte-Based Freight Broker RXO in $5.8 Billion Deal
CHARLOTTE — Global logistics provider C.H. Robinson announced it will acquire RXO, the Charlotte, North Carolina-based freight brokerage, in a cash-and-stock deal valued at about $5.8 billion, according to Logistics Management on October 7. The transaction is one of the largest consolidations in North American freight brokerage in recent years; RXO will be folded into C.H. Robinson's North American surface transportation business.
RXO was spun off from XPO in 2022 and is headquartered in Charlotte, operating a digital freight platform spanning truckload brokerage, less-than-truckload and last-mile services, with a large technology and operations workforce in the city. C.H. Robinson, based in Eden Prairie, Minnesota, is among North America's largest third-party logistics firms.
The report said that after a prolonged freight downturn, large platforms are using acquisitions to expand shipper networks and technology. The deal remains subject to regulatory review and other approvals; the companies are expected to disclose closing timing and plans for RXO's Charlotte headquarters, whose local jobs are being closely watched by the city's business community.
Freight brokerage is an asset-light business built on digital platforms that match shippers with carriers; margins are thin and scale matters, which is why consolidation has been steady. Analysts say C.H. Robinson's and RXO's shipper bases and carrier networks are complementary and that the combined platform will handle substantially more freight, though integrating systems, retaining customers and merging cultures will be the main post-closing challenges. Charlotte is a major Southeastern logistics and finance hub with dense interstate connections and numerous Fortune 500 operations, and RXO has deep roots in the city — hence the local attention on its headquarters workforce. The companies said decisions on branding and offices will be announced in stages as the deal advances.
